Terms of Service

1. Who May Use ContractorIQ

ContractorIQ is designed for businesses.

You may use ContractorIQ only if:

• You have authority to enter into these Terms; and
• If you are using ContractorIQ for a company or other organization, you have authority to bind that organization to these Terms.

References to “Customer,” “you,” or “your” include the business purchasing or using ContractorIQ and its authorized users.

2. ContractorIQ Services

ContractorIQ provides a subscription dashboard for contractors and other small businesses.

Depending on the customer's subscription, connections, and use of the platform, ContractorIQ can provide functionality related to:

• Google search ranking tracking
• Visibility in AI-generated answers
• Competitor monitoring
• Website auditing
• Phone call tracking information
• Call transcription and analysis
• Monitoring public online mentions and reviews
• Website content planning
• Website content drafting
• Publishing customer-approved pages to a connected WordPress or Shopify website

Some functionality depends on third-party services, connected accounts, available data, and customer authorization.

3. Your Account

You are responsible for your ContractorIQ account.

You agree to:

• Provide accurate account information
• Keep account information reasonably current
• Protect your login credentials
• Limit account access to authorized users
• Promptly remove users who should no longer have access
• Notify us if you believe your account has been compromised

You are responsible for activity performed through your account by you and your authorized users.

Users may authenticate through an email address, sign-in link, password, or other authentication method we make available for the ContractorIQ service.

4. Team Members

Customers may invite team members to use their ContractorIQ account.

The customer is responsible for:

• Deciding who receives access
• Assigning access only to appropriate people
• Managing invited users
• Removing access when necessary
• Activity performed by its team members

5. Connected Accounts

ContractorIQ can connect with third-party services chosen by the customer.

These may include:

• Google services
• CallRail
• Slack
• WordPress
• Shopify

You authorize ContractorIQ to access and use information from a connected account as reasonably necessary to provide the functionality you request.

You represent that you have the authority and permissions required to connect each account you connect to ContractorIQ.

You may not connect an account, website, telephone system, analytics account, business profile, or other service that you do not have authority to access.

Third-party services are governed by their own agreements and privacy policies.

ContractorIQ is not responsible for a third party changing, limiting, suspending, discontinuing, or blocking access to its platform, API, data, or services.

6. Google Services

If you connect a supported Google service, ContractorIQ may access information you authorize through Google.

ContractorIQ's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

Your continued access to Google-connected ContractorIQ functionality may depend on your Google account remaining active, your authorization remaining valid, and Google continuing to make the applicable service and API available.

7. Customer Websites

You are responsible for websites you connect to ContractorIQ.

You represent that you have the legal and technical authority to authorize ContractorIQ to crawl, analyze, access, or publish to each website you connect.

ContractorIQ may crawl and analyze your website to provide audits, recommendations, content planning, ranking analysis, and other ContractorIQ features.

8. WordPress and Shopify Publishing

ContractorIQ may allow customers to publish approved pages to their own connected WordPress or Shopify websites.

You remain responsible for:

• Reviewing content before approving it
• Deciding whether content should be published
• The accuracy of published information
• Legal compliance of published information
• Copyrights, trademarks, images, claims, disclosures, and other material published to your website
• Maintaining your WordPress or Shopify account and website
• Maintaining appropriate website backups

ContractorIQ does not become the owner or operator of your website because you connect it to our service.

9. Customer Content

“Customer Content” means information, data, recordings, transcripts, website content, instructions, documents, business information, and other material that you provide to ContractorIQ or authorize ContractorIQ to access.

As between you and ContractorIQ, you keep your rights in your Customer Content.

You give ContractorIQ permission to host, copy, process, transmit, analyze, format, and otherwise use Customer Content as reasonably necessary to:

• Provide ContractorIQ
• Perform actions you request
• Maintain and secure the service
• Provide customer support
• Comply with law
• Enforce these Terms

This permission lasts for as long as reasonably necessary to provide the service and fulfill the purposes described in our Privacy Policy.

10. Call Recordings and Transcripts

ContractorIQ may process call records, call recordings, transcripts, caller names, caller telephone numbers, and related information obtained through a customer's own call-tracking account.

For this information, ContractorIQ acts as a processor or service provider on behalf of the customer.

You Are Responsible for Recording Laws

You are responsible for determining whether you may lawfully record, transcribe, store, analyze, and process your calls.

You agree to:

• Provide callers with any legally required notice
• Obtain any legally required consent
• Inform callers of recording or monitoring where required
• Address AI analysis or automated processing disclosures where required
• Comply with applicable federal, state, and local recording, wiretapping, privacy, telecommunications, and data-protection laws

Consent requirements vary between jurisdictions.

ContractorIQ does not determine which recording or consent laws apply to your business.

You may not use ContractorIQ to record, transcribe, or analyze calls that you do not have the legal right to record or process.

11. Artificial Intelligence

ContractorIQ uses artificial intelligence services for functions such as:

• Call summaries
• Call analysis
• Content drafting
• Recommendations

AI-generated material can be inaccurate, incomplete, outdated, or inappropriate for a particular situation.

You are responsible for reviewing AI-generated information before:

• Relying on it
• Acting on it
• Sending it to another person
• Publishing it
• Using it to make a business decision

ContractorIQ does not guarantee that AI-generated information will be correct.

12. Search Rankings and AI Visibility

Search engine rankings, search results, AI answers, reviews, public mentions, and competitor information can change frequently.

ContractorIQ does not control Google, other search engines, AI platforms, review websites, social platforms, competitors, or third-party data providers.

ContractorIQ does not guarantee:

• A particular Google ranking
• A particular search position
• Placement in an AI-generated answer
• Increased website traffic
• Increased leads
• Increased sales
• A particular business result

Historical performance does not guarantee future results.

13. Public Information

ContractorIQ may collect and display publicly available posts, reviews, mentions, search information, and other public business information as part of its monitoring features.

If someone wants public content associated with them removed from ContractorIQ's records, they may contact: takedown@contractoriqpro.com

Removing information from ContractorIQ does not remove the original material from the website or platform where it was published.

14. Acceptable Use

You may use ContractorIQ only for lawful business purposes.

You may not use ContractorIQ to:

• Violate applicable law
• Violate another person's privacy rights
• Record communications unlawfully
• Access an account, website, or system without authorization
• Publish content to a website you do not control or have authority to manage
• Infringe copyrights, trademarks, or other intellectual property rights
• Upload malware or malicious code
• Attempt to bypass security controls
• Attempt to gain unauthorized access to ContractorIQ or another system
• Interfere with the operation or security of ContractorIQ
• Use automated methods to overload or disrupt the service
• Misrepresent your identity or authority
• Use ContractorIQ to commit fraud
• Use ContractorIQ to harass, threaten, or unlawfully harm another person
• Resell or provide unauthorized access to ContractorIQ
• Reverse engineer ContractorIQ except to the limited extent applicable law expressly permits despite this restriction
• Use ContractorIQ in a way that materially harms our infrastructure, other customers, or third-party services

We may investigate suspected violations of this section.

15. Subscriptions

ContractorIQ offers monthly and annual subscription plans.

Subscription fees are charged through Stripe.

Unless otherwise stated at checkout:

• Monthly plans renew monthly
• Annual plans renew annually
• Your subscription renews using the payment method associated with your account

Prices shown for ContractorIQ subscriptions and credits exclude applicable sales, use, or similar taxes unless expressly stated otherwise.

You are responsible for taxes that apply to your purchase, except taxes imposed on ContractorIQ's own income.

16. Credits

Certain actions inside ContractorIQ use credits.

The number or price of credits required for a paid action will be shown before the action is charged.

Subscription plans may include a monthly credit allowance.

Monthly Credits

Credits included with your subscription renew on your billing date.

Unused monthly subscription credits do not carry over to the next billing period.

Unused subscription credits from a previous billing period expire when the next monthly credit allowance is issued.

Credit Packs

Customers may purchase optional one-time credit packs.

Credit packs are separate from monthly subscription credits.

17. Refunds

Monthly Subscriptions

Monthly subscription payments are non-refundable once charged unless required by law.

If you cancel, you will keep access through the end of your current paid billing period.

We do not provide partial or prorated refunds for unused time.

Annual Subscriptions

An annual subscription may be fully refunded if you request the refund within 14 days after the annual subscription purchase or renewal.

After the 14-day period, annual subscription payments are non-refundable unless required by law.

Credit Packs

An unused credit pack may be fully refunded if:

• You request the refund within 14 days after purchase, and
• None of the credits in that credit pack have been used.

Once any portion of a credit pack has been used, that credit pack is non-refundable unless required by law.

18. Cancellation

You can cancel at any time from the Billing page in your account.

Cancellation stops your subscription from renewing after the current paid billing period.

You will continue to have access through the end of the period you already paid for unless your account is suspended for a violation of these Terms or as otherwise permitted by law.

Cancellation does not create a right to a partial or prorated refund.

19. Failed Payments and Non-Payment

If a subscription payment fails, ContractorIQ will continue attempting to collect the payment using the payment method associated with your account.

For the first seven days after the failed payment, your account will continue to have normal access while payment retries are made.

If payment has not been successfully collected after that seven-day period, your account will move to read-only access.

While an account is read-only:

• Your existing account data and history remain available
• Your data is not deleted because of the failed payment
• You may view information already stored in your account
• Actions that create, change, analyze, publish, purchase, or otherwise use paid ContractorIQ functionality may be unavailable

When the outstanding subscription payment is successfully paid, normal account access will be restored.

You are responsible for keeping a valid payment method associated with your account.

Nothing in this section limits our ability to suspend or terminate an account for fraud, unlawful activity, abuse, security risks, or another material violation of these Terms.

20. Chargebacks and Payment Disputes

If you believe a charge is incorrect, please contact us first at: billing@contractoriqpro.com

We want an opportunity to investigate and resolve billing errors.

If you dispute a valid ContractorIQ charge with your bank or payment provider, we may temporarily pause or restrict the associated account while the dispute is investigated.

Nothing in this section prevents you from exercising rights provided by applicable law or your payment provider.

21. Service Providers

ContractorIQ relies on third-party service providers to operate.

These include providers for:

• Database hosting
• Application hosting
• Payment processing
• Transactional email
• Google services
• Artificial intelligence processing
• Call transcription
• Call tracking
• Notifications
• Website publishing
• Search ranking information
• Keyword information
• Public web information

Third-party systems can experience outages, delays, errors, API changes, access restrictions, or discontinued functionality.

We are not responsible for circumstances outside our reasonable control involving third-party services.

22. Service Changes

We may update ContractorIQ over time.

This may include modifying, adding, removing, or replacing functionality where reasonably necessary to operate, secure, maintain, or improve the service.

We will not intentionally use this section to avoid providing a service that a customer has already paid for during the applicable paid period.

23. Suspension

We may suspend or restrict an account if reasonably necessary because of:

• A chargeback or payment dispute
• Suspected fraud
• A security incident
• Unauthorized access
• Violation of these Terms
• Unlawful activity
• Use that creates a material security or operational risk
• A legal requirement
• A request from a third-party provider involving an account or connection controlled by that provider

Failed subscription payments are handled under Section 19, Failed Payments and Non-Payment, including the seven-day payment-retry period and read-only access described there.

Where practical, we will attempt to provide notice before suspension.

We may suspend access immediately when reasonably necessary to protect ContractorIQ, customers, third parties, or the security of the service.

24. Termination

You may stop using ContractorIQ and cancel your subscription at any time.

We may terminate an account for a material violation of these Terms, unlawful activity, fraud, abuse of the service, or a serious security risk.

An ordinary failed subscription payment is handled as described in Section 19 and does not, by itself, cause ContractorIQ to delete your account data.

When an account terminates:

• Your right to use ContractorIQ ends
• Connected services may stop functioning through ContractorIQ
• Amounts already owed remain payable
• Provisions of these Terms that by their nature should survive termination will remain in effect

Account and data deletion are handled as described in our Privacy Policy.

25. Customer Responsibility

You are responsible for how you use ContractorIQ and for decisions you make based on information provided through the service.

You are responsible for:

• Your business
• Your accounts
• Your employees and team members
• Your websites
• Your connected services
• Your call-recording practices
• Your published content
• Your legal and regulatory obligations
• Reviewing ContractorIQ recommendations and AI-generated information before acting on them

ContractorIQ is a software tool. It does not take over these responsibilities from your business.

26. Intellectual Property

ContractorIQ and its software, interface, design, branding, technology, documentation, and related materials are owned by Contractor IQ LLC or its licensors and are protected by applicable intellectual property laws.

These Terms do not transfer ownership of ContractorIQ to you.

Subject to these Terms and payment of applicable fees, we give you a limited, non-exclusive, non-transferable right to access and use ContractorIQ for your internal business purposes during your subscription.

Your rights in Customer Content remain yours as described in these Terms.

27. Feedback

If you voluntarily send us suggestions or feedback about ContractorIQ, you may do so without creating an obligation for us to compensate you.

We may use that feedback to improve ContractorIQ.

This does not give us ownership of your Customer Content or confidential business information.

28. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTORIQ IS PROVIDED “AS IS” AND “AS AVAILABLE.”

We do not guarantee that ContractorIQ will:

• Always be available
• Always operate without interruption
• Always be free from errors
• Identify every website problem
• Capture every search result, mention, review, or call
• Produce error-free transcripts
• Produce accurate AI output
• Improve search rankings
• Produce any particular marketing, financial, lead, or sales result

We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any other warranties that may legally be disclaimed.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

29. No Professional Advice

ContractorIQ provides software, data, automated analysis, and business-related recommendations.

Information provided through ContractorIQ is not legal, accounting, tax, or other regulated professional advice.

You are responsible for obtaining professional advice when appropriate for your business.

30. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTOR IQ LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO CONTRACTORIQ.

THIS INCLUDES, WHERE PERMITTED BY LAW, LOSS OF:

• PROFITS
• REVENUE
• BUSINESS
• LEADS
• DATA
• GOODWILL
• SEARCH VISIBILITY
• BUSINESS OPPORTUNITIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTOR IQ LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO CONTRACTORIQ OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO CONTRACTORIQ DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory of the claim and even if ContractorIQ was advised that damages were possible.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

31. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Contractor IQ LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from:

• Your unlawful use of ContractorIQ
• Your violation of these Terms
• Your Customer Content
• A website or account you connect without proper authority
• Your recording or processing of telephone calls
• Your failure to provide legally required recording notices or obtain legally required consent
• Content you approve for publication
• Your infringement of another person's intellectual property or privacy rights

This section does not require you to indemnify ContractorIQ for claims caused solely by ContractorIQ's own unlawful conduct where such indemnification would not be permitted by law.

32. Privacy

Our collection and handling of personal information is described in the ContractorIQ Privacy Policy.

33. Changes to These Terms

We may update these Terms from time to time.

If we make a material change, we will provide reasonable notice before the updated Terms take effect. Notice may be provided:

• Inside ContractorIQ
• By email
• Through our website

Your continued use of ContractorIQ after updated Terms take effect means you accept the updated Terms.

Changes will not retroactively change amounts already owed or eliminate refund rights that applied when a qualifying purchase was made.

34. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute arising from or relating to ContractorIQ or these Terms will be subject to the jurisdiction of the state or federal courts located in Wyoming, except where applicable law requires otherwise.

You and Contractor IQ LLC consent to the personal jurisdiction of those courts for disputes covered by this section.

35. Electronic Communications

You agree that we may send service-related communications electronically.

These may include:

• Account notices
• Billing notices
• Security notices
• Subscription information
• Changes to these Terms
• Changes to our Privacy Policy
• Other communications relating to your use of ContractorIQ

36. Entire Agreement

These Terms, together with the ContractorIQ Privacy Policy and any additional written terms that expressly apply to a particular ContractorIQ purchase or service, form the agreement between you and Contractor IQ LLC concerning your use of ContractorIQ.

If one provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Our failure to enforce a provision does not waive our right to enforce it later.
